BY LINKING TO MLM OUTLAWS AS AN AFFILIATE YOU AGREE TO THESE TERMS:
MLM Outlaws Inc., a New Brunswick Corporation, whose address is 245 Hilton Road, Ste 24 Fredericton, New Brunswick, Canada E3B-7B5 3720 Telephone 506-457-4146, Fax (506) 450-8898.

 

" MLM Outlaws Web Site" means the web site located at http://www.MLM Outlaws.com.

 

"Affiliate" means the Company or person that has submitted a request to Affiliate, confirmed acceptance to the terms of this agreement via e-mail and been accepted to partner status.

 

"Affiliate Web Site" means the Web site of Affiliate that has been approved by MLM Outlaws to display links to MLM Outlaws or Affiliate pages.

 

"Forms" means individual forms that are available on the MLM Outlaws forms database and served to Affiliates' Web site users. No commission is paid on books, office supplies, subscriptions, services and other products that may be offered by MLM Outlaws.

 

MLM Outlaws agrees to market legal forms to users of the Affiliate Web Site via links from the partner web site to MLM Outlaws or branded pages of the Affiliate Web site, in the discretion of MLM Outlaws. Partner pages will reflect "Powered by MLM Outlaws, Inc." If branded pages are used, all pages will be subject to approval of Affiliate.

 

Tracking. MLM Outlaws will provide tracking and records to record all sales originating from the Affiliate Web Site. The tracking system will track the user from the form search results to any form order from the MLM Outlaws forms database. Affiliate will be provided credit for all sales by its users. It is the responsibility of Affiliate to inform MLM Outlaws if any problems are suspected with the tracking code during any monthly period. Failure to so advise MLM Outlaws will constitute a waiver of commission adjustments. Affiliate shall be provided with a Web site to view reports of sales. Note: The on-line report does not reflect credit card fees or consignment deductions.

 

Compensation. In return for the linking by Affiliate, MLM Outlaws shall pay compensation to Affiliate as follows:

MLM Outlaws shall pay to Affiliates a commission of sale proceeds from the MLMOutlaws lead generation system tracked users from the Affiliate web site, less credit card processing fees and consignment fees, if any. If a full refund is made to the customer, no payment will be due Affiliate .

It is acknowledged and agreed by Affiliate, that MLM Outlaws, in its sole discretion, shall set the amounts to be charged for gold or platinum service packages.

 

Payment Dates. MLM Outlaws shall remit compensation due to Affiliate by mail or other agreed upon form on or before the 15th of each month following the month in which the respective sales are completed. Payment is complete when processed. MLM Outlaws may elect to remit payment to Partner electronically, in the sole discretion of MLM Outlaws. Payment is not sent till a partner reaches a minimum of $50 in commissions.

 

Linking. Affiliate agrees to link to the MLM Outlaws Web Site as specified to partner by MLM Outlaws. Links to MLM Outlaws shall be open to all users of the AffiliateWeb site and not hidden in a member only area. No registration shall be required for users of the Affiliate Web site to access the forms links.

 

Exclusive. This agreement is non-exclusive and the Parties may enter into other agreements involving the subject matter of this agreement.

 

Termination. Affiliate and/or MLM Outlaws may terminate this agreement on 10 days prior notice via e-mail communication. This agreement may be terminated without notice by MLM Outlaws to Affiliate in the event Affiliate has no sales for a consecutive period of 90 days.

 

Verification. Affiliate shall have the right to examine the books of MLM Outlaws concerning sales by Affiliate users at all reasonable times.

 

Service Interruption. MLM Outlaws and Affiliate will make reasonable commercial efforts to keep its transaction service operational during normal business hours. However, certain technical difficulties may, from time to time, result in temporary service interruptions. USLF and Partner understand and acknowledge that it is normal to have a certain amount of system downtime and further agrees not to hold the other liable for any of the consequences of such interruptions.

 

Confidentiality. Affiliate and MLM Outlaws acknowledge that in the course of this Agreement each may be exposed to confidential information of the other's business including sales and other trade secrets related to the Products and Services. Affiliate and MLM Outlaws shall treat all such information and the terms of this Agreement as confidential and take all reasonable precautions against disclosure of such information to unauthorized third parties during and after the course of this Agreement.

 

Independent Contractor. The agreement forms an independent contractor relationship between USLF and Affiliate and neither Affiliate or MLM Outlaws shall be liable for the acts of the other in connection with the performance of this agreement. This agreement merely establishes a marketing tool for the Parties and each shall remain liable for their own products and services to their respective customers.

 

Modification. These terms may modified by MLM Outlaws without prior notice to Affiliate. No waiver of these terms shall be construed as a continuing waiver or consent to any subsequent breach thereof.

 

Entire Agreement. These terms, together with E-Mail communications constitute the entire agreement between the parties.

 

Governing Law. This Agreement shall be subject to and construed according to the laws of the Province of New Brunswick.

 

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, USLF AND PARTNER DISCLAIM ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE SERVICES OF THE OTHER, ITS USE AND THE RESULTS OF SUCH USE. WITHOUT LIMITING THE FOREGOING, USLF AND PARTNER SPECIFICALLY DISCLAIMS ANY WARRANTY (A) THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THAT DEFECTS WILL BE CORRECTED, (C) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (D) THAT THE SECURITY METHODS EMPLOYED WILL BE SUFFICIENT, OR (E) REGARDING CORRECTNESS, ACCURACY, OR RELIABILITY OF INFORMATION.

 

MLM OUTLAWS AND AFFILIATE SHALL HAVE NO LIABILITY FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF ANY WEB SITE OF MLM OUTLAWS OR AFFILIATE, OR THEIR DATA FILES OR SYSTEMS OR PROGRAMS THROUGH ACCIDENT, FRAUDULENT MEANS OR DEVICES BY USERS TRACKED FROM THE OTHER'S SITE
